Second hand store

Second hand store

Question:
Hello!
My husband and I want to open a thrift and/or thrift store. We plan to import goods from abroad to be advertised online and offered locally in the city of Varna.
In this regard, the following questions arise:
1. What type of company would be appropriate to open?
2. What documentation is needed for company registration?
3. What are the necessary documents when importing goods from abroad so that we don't have problems at the border?
4. How are products (clothes, accessories, etc.) that are donated or purchased second-hand abroad and do not have an invoice accounted for?
5. What permits are required regarding the disinfection of these products?
6. After a brief online search, we come across the following terms: patent activity, consignment contract, and sales contract. What is the similarity and difference between these occasion terms?
Thanks in advance!

Answer:
Hello,
Directly to your questions:

1. A limited liability company (LLC or EOOD depending on whether the owner will be one or more than one) would be suitable.
2. A set of documents is being prepared (constitutional act, minutes of the founding meeting, management contract, several declarations and sample signature). Some of the documents are notarized. After that, you need to find a fundraising account in a bank of your choice, to which you can deposit the initial capital. The minimum is BGN 2.00. The import note for the paid-in capital, together with the other prepared documents, must be submitted to the Commercial Register, no later than 7 calendar days from the date of the founding act, and the registration also takes place within 7 working days . The state fee is 110.00 BGN. The notary fee is 6.00 - 8.00 BGN, and the bank fee will depend on the bank you choose, varying from 10.00 - 50.00 BGN.
3. When importing goods from abroad, a document for the purchased goods (invoice/invocie) is required. If the goods will be transported with a transport hired by you (courier, transport company) - bill of lading/CMR or other document certifying the carried out transport of goods.
4. Clothes, accessories and others that are donated or bought second-hand abroad and do not have an invoice cannot be accounted for. Since there is no document, there is no way to prove the authenticity of a transaction.
5. Regarding permits and disinfection of these products, it is best to contact the nearest RZI (district health inspection) office.
6. "Patent activity" has no connection with the activity you described. This is a way of taxing natural persons receiving income such as artisans, income from overnight stays, taxi services and other professional activities. It does not apply to companies engaged in any commercial activity.
"Consignment contract" is a contract in which you agree to leave certain goods with a partner of yours, and he undertakes to pay you periodically based on the sales made.
A "sales contract" is when you agree directly to sell specific goods for a specific amount.
We hope we have been helpful!
Greetings!
