Closing of the company with frozen activity
Closing of the company with frozen activity
Question:
Hello,
I have a registered business (ET) that is frozen but not closed. The company has a property - a warehouse with land to it and a loan with which the warehouse was bought. What is the procedure for closing a company and what happens to the warehouse and the loan.
Thanks for the answer in advance!
Answer:
Hello,
In order to close a company (Et, EOOD, OOD), it is necessary first to be "emptied of content" - to sell all assets, to collect (if possible) receivables, to settle (if possible) . The procedure itself takes about 6-7 months. An application is filed in the Commercial Register in a standard form (in your case A1) and after 6 months in which the company's liquidation procedure runs, all creditors (if any) are entitled to claim their repayments. During these six months, the liquidator sells the company's property if it is able to collect the receivables and repay the company's liabilities. If there is a cash balance, it forms the liquidation share that is paid to the owner (after paying a 5% tax)
When submitting A1 to the Commercial Register you are required to provide:
- A certificate issued by the National Social Security Institute (NSSI) that they have been notified of the liquidation (issued after submitting an application under Article 5, paragraph 10 of the Social Security Code and if you have ever recruited staff, all documents related to remuneration and social security contributions are transferred to them , dossiers, etc.)
- Certificate for notification to the NRA under Art. 77 para 1 of the Tax Insurance and Procedural Code
- State Fee Document
- Declaration under Article 13, para. 4 of the Commercial Register Act regarding the authenticity of the documents submitted.
We hope we have been useful
Greetings.
