Question:

Hello! I want to register a company, but I do not know what legal form it is. I spoke with two accountants and had different opinions about ET and EOOD. I want to open a baby and toddler and toy store, I will have a partner (female worker). Could you consult me which one is and why? Thanks!

Answer:

Hello!

Directly to the question, ET opens a person who is the sole owner, in charge of all his property (home, house, villa, car, etc.) for the transactions he performs and for the obligations which he has in relation to the performed activity. EOOD is a single-person company (a sole partner and owner), which is responsible for the liabilities of the company's shares up to the amount of the declared share capital (so it is said the sole limited liability company - EOOD).

If you officially have a partner, the form in which you want to register your company is OOD. (limited liability company with more than one partner) What I wrote above about limited liability is also valid for OOD.

If your partner does not formally participate in the company's capital, it is preferable to register EOOD. For example, if the capital of the company is 100 leva, then this is the threshold of your liability and your personal property remains untouchable. From the point of view of the tax burden there is no difference in EOOD and ET. The only advantage of ET is that you can use the profit more directly after paying a 15% tax, and for EOOD after you have achieved a positive annual financial result, you pay a profit tax (10%) you are entitled to a dividend after paying another 5% tax dividend.

Greetings.
