I have a business planning site, I have developed planning and forecasting calculators that can be used when registering and choosing a subscription plan. The site is currently free. Recently I decided to make it a trading platform, ie. through a system I have created, manufacturers can open online stores on my platform, as they upload their products, they announce the prices, they are responsible for deliveries, they choose whether to trade in Bulgaria or with another country, they send from my name and at my own expense, as I earn about n% of product sales. I don't really do anything, I don't buy, I don't sell, I only deal with advertising on my site. My question is: Do I need a company? By which member will it be registered? If the company is registered in my husband's name, and he works on an employment contract in another company and is paid high insurance, will we have to pay him insurance to our company? If he is also appointed as a manager but does not perform any work activity, then what happens? What costs will we have per month for the company, if any? And one last question: If I am a mother, can I be a partner in the company, will this harm my motherhood?

Provided that you will carry out commercial activity (namely provision of services), there is no way to legally carry out your activity and declare the income from it without registering a company. Depending on whether there will be one or more partners, the form of the Company will be either EOOD - with one owner or OOD - with more than one owner. If you are a partner in a limited liability company, this will not terminate your maternity, as long as you are not a manager of the Company. In any case, the Company will have to have someone appointed as a manager, who will accordingly have to be insured and to declare and pay social security contributions, regardless of whether it will receive remuneration or not for its activity as a manager. If your spouse is appointed as a manager, then despite the fact that he works on an employment contract, he will have to be insured. There are two options for securing a manager. The minimum option in terms of the amount of insurance is to be insured as a self-insured person (SOL). In this case, the amount on which it is insured must be between the minimum insurance income and the maximum insurance income for the year. This means that if your spouse is insured for an amount higher than the maximum insurance income for the year (from employment + SAL), then insurance will be paid up to the maximum insurance income for the year.
It is also important to note that if you will provide and / or receive services from persons outside Bulgaria, it will be necessary for the Company to register for VAT. This means that every month you will have to declare to the NRA all your purchases and sales, as well as pay the relevant VAT (if you owe such). Also, on an annual basis, you will have to file an Annual Tax Return, in which you must declare all expenses incurred and all realized income. Accordingly, 10% tax is charged on the profit thus obtained.
